These Terms & Conditions ("Terms") govern your use of this website and all quotations, orders and sales made by Vrishbha Traders Private Limited ("the Company", "we", "us"). By using the website or placing an order, you ("the Buyer", "you") agree to these Terms. Where a separate written agreement, purchase order confirmation or proforma invoice has been signed by both parties, that document prevails over these Terms to the extent of any conflict.

• The website is provided for information and to enable business enquiries. Content is for general guidance and does not constitute an offer capable of acceptance.
• You must not use the website for any unlawful purpose, attempt to gain unauthorised access to it, or introduce malicious code.
• We may change, suspend or withdraw any part of the website at any time without notice.

3. Quotations and orders

• Quotations are valid for the period stated on them (or 7 days if no period is stated) and are subject to availability of stock and raw materials.
• An order is accepted only when we issue a written order confirmation or proforma invoice. We may decline any order at our discretion.
• Minimum order quantities apply and vary by product. They will be stated in the quotation.
• Orders for custom-developed fabrics, prints or garments are confirmed only after approval of samples and receipt of any advance payment stated in the quotation.

4. Pricing and payment

• Prices are quoted in Indian Rupees unless otherwise stated, exclusive of GST and other applicable taxes, duties, freight and insurance, which will be added as applicable.
• Prices for yarn and fabric may be revised if raw material costs change materially between quotation and order confirmation; any revision will be notified before confirmation.
• Payment terms (advance, against delivery, letter of credit or credit period) are as stated in the order confirmation. Unless agreed otherwise, full payment is due before dispatch.
• Overdue amounts may attract interest at 18% per annum from the due date until payment, and we may suspend further supplies until the account is settled.
• For export orders, payment is by advance remittance or irrevocable letter of credit unless otherwise agreed in writing.

5. Samples and specifications

• Samples and swatches illustrate general quality, construction and shade. Textiles are subject to normal commercial variation in shade, GSM, width, shrinkage and finish between lots and between sample and bulk.
• Variation within tolerances customary in the textile trade, or within tolerances stated in the order confirmation, does not constitute a defect.
• Colours shown on screens are indicative only and may differ from the actual product.
• Where goods are produced to the Buyer's design, artwork or specification, the Buyer warrants that it has the right to use that design and will indemnify us against any third-party claim arising from it.

6. Delivery and risk

• Delivery dates are estimates given in good faith. We are not liable for delay caused by factors outside our reasonable control, including raw material shortages, transport disruption, strikes, weather, customs delays or government action.
• Unless otherwise agreed, goods are supplied ex-works from our premises in Delhi and risk passes to the Buyer when the goods are handed to the carrier. Title passes on receipt of full payment.
• Partial deliveries are permitted and may be invoiced separately.

7. Inspection, shortages and claims

• The Buyer must inspect goods on receipt and notify us in writing of any shortage, damage or visible defect within 7 days of delivery, with photographs and lot details. Claims received later may not be accepted.
• No claim will be entertained for fabric that has been cut, washed, processed, dyed, printed or converted after delivery.
• Our liability for accepted claims is limited, at our option, to replacement of the affected goods, a credit note, or a refund of the price paid for them, as set out in our Cancellation & Refund Policy.

8. Limitation of liability

• To the fullest extent permitted by law, we exclude all conditions and warranties not expressly stated in these Terms or the order confirmation.
• We are not liable for any indirect, consequential or special loss, including loss of profit, business or goodwill, arising from any order or from use of the website.
• Our total liability in respect of any order shall not exceed the amount paid by the Buyer for the goods giving rise to the claim.
• Nothing in these Terms excludes liability that cannot be excluded under Indian law.

9. Intellectual property

All content on this website — text, graphics, logos, illustrations and layout — is owned by or licensed to the Company and protected by Indian and international copyright and trademark law. You may not reproduce, distribute or create derivative works from it without our written permission. Designs, patterns and artwork developed by us remain our property unless assigned in writing.

10. Governing law and disputes

These Terms and any order are governed by the laws of India. The parties will first attempt to resolve any dispute amicably through negotiation. Failing resolution within 30 days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, with the seat of arbitration at New Delhi. Subject to the above, the courts at New Delhi shall have exclusive jurisdiction.

11. General

• If any provision of these Terms is held invalid, the remainder continues in force.
• Our failure to enforce any right is not a waiver of that right.
• We may update these Terms at any time by posting a revised version on this page. Orders are governed by the Terms in force on the date of order confirmation.
